Trade & Wholesale Terms & Conditions

These Trade & Wholesale Terms (“Terms”) apply to all wholesale orders. By placing an order, the client (“you”, “your”) agrees to these Terms in full.


1. Orders & Pricing

1.1 All orders are subject to availability and acceptance by us.
1.2 Prices are quoted ex works and exclude VAT, unless otherwise stated.
1.3 We reserve the right to change prices at any time prior to order confirmation.
1.4 Minimum order values may apply and will be communicated at the time of quotation.
1.5 Quotations are valid for 14 days unless otherwise specified.


2. Collection

2.1 Orders are ex works and must be collected from our nursery located in Uxbridge / Denham.
2.2 The nursery is open strictly for pre-arranged collections only. We do not permit general visitors or walk-ins.
2.3 Collection dates and times must be pre-booked. Failure to collect on the agreed date may incur holding or re-stocking fees.


3. Delivery

3.1 Delivery can be arranged at your request and will be quoted based on order size, plant specifications, and destination.
3.2 Wholesale delivery rates differ from retail delivery pricing.
3.3 Deliveries are kerbside only, unless white-glove, installation, or potting services are quoted and paid for separately.
3.4 We do not accept liability for delays caused by couriers or external carriers.


4. Product Images

4.1 Images can only be supplied for plants valued at £600+ per plant excl. VAT.
4.2 Images are representative only; natural variations in size, colour, form, and condition are expected in living plants.


5. Variations, Substitutions & Specifications

5.1 All sizes, measurements, and descriptions are approximate due to the nature of living material.
5.2 In the event of stock issues, we may offer suitable substitutions, but we will not substitute without your approval.
5.3 You are responsible for ensuring the suitability of plants for your intended purpose or environment.


6. Risk, Title & Responsibility

6.1 Risk transfers to you at the point of collection or at the moment goods are unloaded (kerbside) during delivery.
6.2 Title passes only upon receipt of full cleared payment, regardless of whether the plants have been delivered or collected.
6.3 Once risk has passed, we accept no responsibility for the condition, aftercare, decline, or survival of plants.


7. Inspection & Acceptance

7.1 You must inspect all goods immediately upon collection or delivery.
7.2 Any damages or discrepancies must be reported at the time of delivery and noted with the driver before signing.
7.3 If goods are signed for without comment, they will be deemed satisfactory and may only be returned subject to the returns policy and associated charges.


8. Returns & Restocking

8.1 Returns are accepted within 14 days of collection or delivery.
8.2 All returns incur a 20% restocking fee.
8.3 Returned items must be brought back to our nursery at your cost.
8.4 Plants must be returned in the same condition as supplied. Declined or poorly stored plants will not be accepted for return.


9. Payment Terms

9.1 Payment must be made in full prior to collection or delivery, unless a trade credit account is approved in writing.
9.2 Credit account terms (where granted) are typically 7 or 14 days from date of invoice unless otherwise agreed.
9.3 Late payments may incur interest at 8% above the Bank of England base rate, plus reasonable debt recovery costs.
9.4 We reserve the right to withhold or cancel orders where payment has not been made.


10. Warranty, Guarantees & Aftercare

10.1 All wholesale orders are supplied on a supply-only basis.
10.2 No guarantees, warranties, replacements, or survivability assurances are provided once plants have left our care.
10.3 No plant care services, maintenance visits, diagnoses, consulting, or advice are included.
10.4 Any such services requested by you or your end clients are chargeable, even if included free of charge for retail customers.


11. Liability

11.1 Our total liability for any claim arising out of or in connection with the supply of goods shall not exceed the invoice value of the goods supplied.
11.2 We shall not be liable for any indirect, special, or consequential losses, including but not limited to loss of profits, loss of business, loss of clients, or reputational damage.
11.3 We accept no responsibility for the survival, condition, growth, performance, or subsequent decline of plants after the point risk has transferred to you.
11.4 We are not liable for losses caused by improper handling, inadequate aftercare, unsuitable environmental conditions, or any actions by third parties.
11.5 Nothing in these terms limits liability where it cannot legally be limited.


12. Force Majeure

12.1 We shall not be liable for any delay or failure to fulfil an order due to circumstances beyond our reasonable control, including but not limited to extreme weather, pests or disease outbreaks, labour shortages, transport delays, supply chain interruptions, or acts of government.
12.2 In such circumstances, we may cancel or suspend the order without liability.


13. Cancellation

13.1 Orders may be cancelled prior to collection/delivery only with our written agreement.
13.2 If orders are cancelled after preparation, selection, potting, holding, or custom work has commenced, we reserve the right to charge a cancellation fee, up to but not exceeding the full order value.
13.3 Reserved or pre-purchased stock for you that is cancelled may incur a 50–100% charge, depending on the item and market availability.


14. Storage & Holding Fees

14.1 Orders must be collected or delivered on the agreed date.
14.2 If you request a delay, or fail to collect, we may charge daily holding fees, especially for large or specimen plants.
14.3 After 7 days of non-collection, we may return items to general stock and apply a 20% restocking fee.


15. Intellectual Property & Images

15.1 All images, videos, and content supplied by us remain our intellectual property and may not be shared publicly without written permission.
15.2 Images supplied for inspection of high-value plants (£600+ excl. VAT) are for your internal use only.


16. Data Protection

16.1 Any personal data provided to us will be handled in accordance with UK GDPR and used solely for order fulfilment, invoicing, and essential communication.
16.2 We do not share your data with third parties except where necessary to fulfil delivery or legal obligations.


17. Governing Law & Jurisdiction

17.1 These Terms are governed by the laws of England and Wales.
17.2 Any disputes shall be resolved exclusively in the courts of England and Wales.


18. Amendments to These Terms

18.1 We may amend these Terms from time to time. The version in force at the time of order confirmation shall apply to that order.
18.2 It is your responsibility to review the latest Terms before placing an order.


19. Entire Agreement

19.1 These Terms, together with any written quotation or invoice issued by us, constitute the entire agreement between both parties and supersede all previous understandings.
19.2 No verbal statements or assurances will form part of the contract unless confirmed in writing by us.
